R1 to acquire Humata Health for AI-driven prior authorizations

R1 RCM will acquire prior-authorization technology provider Humata Health, the company announced Aug. 18. The deal, expected to close by the end of the third quarter, will fold Humata into R1's Phare Operating System, an AI-powered revenue cycle platform launched in October 2025. Financial terms were not disclosed.

Prior authorizations remain one of the most labor-intensive parts of revenue cycle management, creating delays in care and administrative burden for providers. Humata's technology uses agentic AI to match payer policies in real time, determine requirement logic, create clinical bundles, deliver evidence for payer attestations, and manage requests end-to-end across specialties. The company expanded into ambulatory care in June with a standalone platform for independent practices, regional health centers, and specialty clinics.

For R1, the acquisition is about moving beyond point solutions toward a fully autonomous revenue cycle. Humata will join R1's agentic AI development team through its R37 innovation lab.

Why prior authorization is the target

Prior authorizations are a persistent friction point between payers and providers, according to a recent survey from Zelis. That friction has pushed revenue cycle technology to the front of the healthcare IT market, with EHR vendors and revenue cycle management companies alike racing to speed up determinations.

Federal interoperability mandates are accelerating that shift. New rules requiring faster prior authorization turnaround times take effect next year, relying on application programming interfaces to standardize data exchange among patients, providers, and payers. Epic announced this week that four health systems piloted a new prior authorization API designed to collect authorization requirements within the EHR when a clinician places an order or schedules an appointment.

AI is also driving the push toward real-time authorizations. Automated clinical evidence extraction, form-filling, and denial risk intelligence are becoming standard features in revenue cycle tools. Humata's agentic AI helps close the gap between payers and providers, said Jeremy Friese, Humata's founder and CEO.

"Upon completion of the acquisition, Humata Health will significantly enhance our coverage of the authorization process, advancing our strategy to have the most intelligent and integrated pre-bill architecture in the industry through Phare OS," said Steve Albert, chief strategy and growth officer at R1.

R1 CEO Joe Flanagan said the deal is a step toward automating the revenue cycle and making real-time authorizations a near-term reality.

What agentic AI adds to revenue cycle management

Agentic AI is central to R1's approach. Unlike traditional automation that follows fixed rules, agentic AI can connect across hundreds of payers, reducing friction among patients, clinicians, health systems, and payers, Albert said. That capability is what makes full automation of some revenue cycle functions possible.

R1's Phare OS takes a system-level approach to revenue cycle technology, orchestrating the entire process from patient intake to final payment. The acquisition of Humata is intended to strengthen Phare's pre-bill architecture, particularly around authorization coverage.
