A Cease Trade Order (CTO) against Railtown AI Technologies Inc. (CSE: RAIL) (OTCQB: RLAIF) was issued on Friday, September 4, after the company failed to file its third-quarter financial statements on time. The missed deadline stemmed from a clerical error involving a news release that was meant to activate a quarterly reporting exemption.

The company filed the overdue statements and Management Discussion & Analysis (MD&A) on Saturday, September 5. Trading in the company's shares will remain halted until the British Columbia Securities Commission (BCSC) issues a formal revocation order.

A filing exemption gone wrong

Railtown had intended to use the quarterly reporting exemption available under Coordinated Blanket Order 51-933. To activate that exemption, the company needed to issue a news release containing specific language. An internal review found that an incorrect version of the release was filed, which did not include the required wording.

The BCSC sent a Notice of Default on Wednesday, September 2, for the missed August 31 filing deadline. Railtown said all attempts to contact the commission to explain that the default would be quickly fixed were unsuccessful, and the CTO was issued Friday afternoon.
