AI agent for venture capitalists
Convertible Note Maturity Agent
No note matures unnoticed, and each has a computed conversion and an informed decision
What it does
Convertible notes and SAFEs sit in the portfolio for years. Notes have maturity dates and interest, and a priced round triggers conversion at a cap or discount. When a note matures with no plan, the fund loses leverage or misses a conversion benefit. This agent keeps a table of every note and SAFE with its principal, cap, discount, interest rate and maturity. It computes accrued interest to today and to the maturity date. It also watches for financings that would trigger conversion, and calculates how many shares or what percentage each instrument would convert into at the announced price. Ninety days before maturity it prompts the options, such as extend, convert, repay or wait for a round, and recomputes each. The partner approves any extension or conversion. Edge case: a cap and a discount both apply, and the agent picks the one that gives the better conversion price.
How it works
Follow the arrows from top to bottom. The orange dashed arrow is the loop: when a check fails, the agent goes back and tries again.
Read the steps as a list
- A note is 90 days from maturity or a financing is announced
- Load note terms and the current cap table
- Compute accrued interest to today and to maturity
- Compute conversion price from the cap and the discount, taking the better one
- Does the conversion result tie to the company's cap table within 0.1%?If not: find the difference in share counts or terms and recompute. Back to step 3.
- Compare options: extend, convert, repay or wait for a round
- Write the option summary with ownership effects
- Partner approves any extension or conversionThe agent waits here for your OK.
- Send reminders at 60, 30 and 7 days before maturity
- Has a decision been recorded before maturity? If not: escalate to the partner with the remaining days. Back to step 8.
- Decision logged and note status updated
How it decides
It converts at the lower of the cap price and the discount price, adds interest as the terms say, and shows the result for each option before maturity.
- Use the lower of cap price and discount price
- Compute simple or compound interest as the note states
- Remind at 60, 30 and 7 days
- Escalate when under 30 days remain with no decision
