What it does

A sell-side buyer list often comes from what the team remembers, and good candidates are missed. This agent builds a long list of possible buyers from company databases, past deals and news. It then checks each candidate for strategic fit, such as products, geography and customers, for financial capacity, such as cash and debt, and for deal history. It ranks buyers and drops weak ones with a reason, so the banker can see why. It adds new candidates found through recent deal news, such as a buyer that just raised funds. If the top group is too narrow, it widens the criteria and screens again. The banker approves the final list.

How it decides

It scores strategic fit and capacity, and keeps buyers above the cutoff, with a recorded reason for each exclusion.

  • Drop buyers whose cash is below 1.5 times the likely price
  • Require at least 2 of 3 fit criteria
  • Add buyers announcing deals in adjacent sectors within 12 months
  • Mark conflicts such as existing client relationships for banker review
