What it does
A fairness opinion must be backed by a binder of analyses, from comparable companies to discounted cash flows, and every number has to agree with the model and the board materials. Teams assemble this in the last days, and inconsistencies slip through. This agent starts from the list of analyses the opinion requires. It requests each from the deal team, then checks that the sources, dates and numbers match the master model and the board presentation. It flags gaps and mismatches, such as a share count that differs between pages, sends the fix request to the owner and rechecks when the new version arrives. It repeats until the binder is consistent and complete. The fairness committee approves the binder. Edge case: a peer set updated after the board deck was printed, so the agent flags every page that still shows the old set.
