What it does

A business development leader signs a letter of intent with 60 days of exclusivity and then gets pulled into other work. Diligence requests go unanswered, a signature is missing and the window closes. This agent tracks every open LOI. It reads the dates, exclusivity windows and conditions, lists what blocks signing or progress such as an unsigned side letter or missing documents, drafts reminders to the right person and proposes extensions before expiry. After each response it rechecks the status. The leader approves any extension request and every outgoing message. Edge case: the counterparty wants a shorter exclusivity. The agent shows the effect on remaining milestones.

How it decides

It ranks LOIs by days to expiry and number of blocking items. A milestone is at risk if it is more than 5 days behind and the expiry is within 21 days.

  • A milestone more than 5 days late with expiry within 21 days is at risk
  • Propose an extension at least 10 days before expiry
  • Escalate items blocking signature to the leader the same day
  • Reminders go to the named owner, with the leader copied on the last one
