Public Target Filing Watch Agent

Timely, short alerts on filings and news that change the thesis for each tracked target

Public Target Filing Watch Agent: what goes in, what the agent does and what you get

What it does

Deal teams follow a list of public companies that could become targets. Important filings, such as a new activist stake, a debt covenant change or a risk factor rewrite, arrive daily and are easy to miss. This agent watches filings and news for the named targets. It extracts what changed: ownership of large holders, debt and maturities, new risk language, management changes. It compares each change with the deal thesis, for example a target that is cheap, over-levered or has an activist, and rates how much it affects the thesis. If the first read is unclear, it fetches the earlier filing and compares the two. It then sends a short alert with the key lines. The associate decides which alerts to send to the team. Edge case: a name change appears as a new company, and the agent matches it by registration number.

How it works

Follow the arrows from top to bottom. The orange dashed arrow is the loop: when a check fails, the agent goes back and tries again.

How it decides

It rates a change high when it touches the thesis, such as ownership crossing 5% or debt maturity within 12 months, and low when it is routine.

  • Alert on any new holder crossing 5% or an activist filing
  • Alert when debt maturing within 12 months exceeds cash
  • Hold routine filings for a weekly digest
  • Match entities by registration number, not name

Make it yours

Every agent is a starting point. You choose these settings for your own situation.

  • Target list
  • Alert thresholds (default 5% ownership)
  • Digest schedule for routine items
  • Who receives the alerts

What keeps you in control

It always asks you first

  • Sending an alert to the team

Hard limits

  • Uses public information only
  • Never trades or contacts the target
  • Cites the filing for every figure

It stops when

  • Done: alert approved and logged
  • Stop: filing source is unavailable

An example run

What happensAt 9:40 a.m. a 13D showed a fund with 6.2% of a target and a plan to seek board seats. The agent compared it with the prior holder table and found the stake rose from 4.1%. Its first alert quoted 6.0%, so the number check failed. It corrected the figure to 6.2% and added the thesis link to the activist angle. The associate approved and sent it by 10:05.
