Carta Acquires Avantia Law to Integrate AI-Assisted Legal Work Into Private Capital Operations

Carta, the equity management software company, acquired Avantia Law and is launching Carta Law, a platform that combines AI-driven legal workflows with attorney review for private equity and asset management firms.

The acquisition addresses a core operational problem: legal, compliance, and fund administration functions operate in separate systems, slowing deal execution and creating compliance gaps. Carta Law integrates Avantia's AI workflow engine directly into Carta's enterprise platform, connecting legal and compliance actions to fund operations, portfolio analytics, and investor management.

For legal teams, the platform offers AI-assisted recommendations verified by attorneys, automated workflows for contract review and compliance tasks, and orchestrated processes for KYC checks and NDA management. The system uses outcome-based pricing rather than hourly billing.

Avantia, founded in 2018, serves more than 200 asset managers, including 30% of the world's largest funds. The firm supports transactions tied to over $15 trillion in assets under management and employs around 150 people.

Carta has raised approximately $1.16 billion and employs more than 2,000 people. The company acquired ListAlpha earlier this year as part of a broader strategy to build an AI-enabled operating system for private capital firms.

Henry Ward, Carta's CEO, said large private equity firms currently pay top-tier law firms for high-volume, routine legal work. "Carta Law changes that by connecting Avantia's AI-native delivery, outcome-based pricing, and lawyer-backed review directly to Carta's system of record for private capital."

The integration reflects a shift in how legal work flows through private capital operations. Rather than treating legal as a separate function, the platform embeds it into the deal and fund lifecycle.
