Capgemini to Acquire WNS to Boost AI-Driven Intelligent Operations

Capgemini, a global leader in business and technology transformation, is acquiring WNS to accelerate the adoption of AI-driven intelligent operations. This move will position Capgemini as a top player in digital business process services (BPS), combining deep process expertise with a broad global reach.

Together, Capgemini and WNS expect combined Digital BPS revenues of €1.9 billion in 2024. This merger will enhance Capgemini’s capability to support clients through their business and technology transformations. It also opens up new cross-selling opportunities and builds a strong foundation to capture the growing market for intelligent operations.

Unlocking Intelligent Operations

The biggest opportunity for organizations investing in generative and agentic AI lies in redesigning their operations and business processes. Businesses aiming to become AI-powered will focus their investments here, driving demand for a new type of business process service: intelligent operations.

Intelligent operations use a consulting-led approach to transform and run both horizontal and vertical business processes. They leverage generative AI and agentic AI to deliver faster, more agile, and efficient processes. This approach combines data, AI, and digital technologies to significantly improve business outcomes.

Aiman Ezzat, CEO of Capgemini, emphasized, “Enterprises are rapidly adopting generative AI and agentic AI to transform their operations end-to-end. BPS will be the showcase for agentic AI. Capgemini’s acquisition of WNS will provide the group with the scale and vertical sector expertise to capture that strategic opportunity created by the shift from traditional BPS to agentic AI-powered intelligent operations.”

Enhancing Resilience and Agility Through AI

Both Capgemini and WNS have been pioneers in intelligent operations. Their combination will accelerate leadership in this space by offering greater scale and specialized capabilities. Capgemini’s significant investments in AI, including training programs, product offerings, and partnerships with major players like Microsoft, Google, AWS, Mistral AI, and NVIDIA, will further strengthen this effort.

Timothy L. Main, chairman of WNS Board of Directors, said, “WNS and Capgemini share a bold, future-focused vision for intelligent operations. Capgemini is the ideal partner to extend our capabilities, speed up innovation, and establish leadership in this evolving market. This is a key milestone for WNS, enhancing client resilience and agility through advanced AI-driven solutions, creating value for investors, and opening new opportunities for employees within a global technology leader.”

The acquisition will be executed through a court-sanctioned scheme of arrangement under Jersey law, with unanimous approval from both companies’ Boards of Directors.
