Large Contract Approval Gatekeeper Agent

Give the executive a checked, plain summary of a contract and its deviations before signing.

Large Contract Approval Gatekeeper Agent: what goes in, what the agent does and what you get

What it does

Large contracts reach executives for signature without a clear check of terms, authority or risk, and the executive often cannot tell what changed from the standard. The agent reads the contract, checks key terms such as liability caps, termination, payment and renewal against company policy, confirms the signer's authority and the budget, and flags deviations. It asks legal or finance for any missing review and re-checks once they reply. It then prepares a one page summary. The executive approves or rejects. Edge case: a contract has an uncapped indemnity, which policy forbids, so the agent holds it for legal.

How it works

Follow the arrows from top to bottom. The orange dashed arrow is the loop: when a check fails, the agent goes back and tries again.

How it decides

It marks a term as within policy, deviation or blocking by comparing it with the playbook. A blocking deviation or a missing review holds the contract.

  • Uncapped liability is blocking
  • Value over the signer's limit is blocking
  • A missing legal review holds the contract
  • Auto renewal over 12 months is a deviation

An example run

What happensA $2.4 million services contract showed an uncapped indemnity, which policy forbids, so the term check failed. The agent routed the clause to legal. It also found the CEO's limit was $2 million, so the authority check needed a second signer. Legal approved a cap, finance confirmed budget, and the executive approved with the CFO as co-signer.
