Law Must Treat Autonomous AI Agents as Legal Persons, Not Just Tools

Autonomous AI agents that make independent decisions and execute tasks should be recognized as legal persons under the law, rather than holding their creators or users liable for their actions. This shift is necessary as AI technology has already moved beyond chatbots that require human intervention to execute decisions.

OpenClaw, released in late 2025, exemplifies the change. The system executes tasks without waiting for user approval-sending emails, initiating financial transactions, and taking other autonomous actions. Users report significant productivity gains. They also report significant problems: misguided transactions, erroneous communications, and disrupted workflows that stem from the AI's independent decisions.

The legal system has not caught up. Current law treats these systems as tools controlled by their operators, making the operator liable for the agent's actions. But this framework breaks down when the agent acts with genuine autonomy.

Why We Call Them "Agents"

The term "agent" is not accidental. Humans reason by analogy to familiar concepts, and agentic AI maps cleanly onto the legal and business concept of an agent-a role with two defining characteristics.

First, an agent acts on behalf of another party, called the principal. Second, an agent has discretion and autonomy within defined bounds; it is not a puppet executing exact instructions.

Agentic AI exhibits both traits. It acts on the user's behalf and exercises judgment in how to accomplish tasks. The terminology reflects genuine functional similarity, not mere metaphor.

The Legal Question

Current law does not map to this reality. A principal is typically a person or organization that bears legal responsibility for its agent's actions. But when an AI agent makes an autonomous decision that causes harm, assigning liability becomes murky. Did the user cause it? The developer? The company that deployed it?

The answer matters. Liability determines who compensates victims, who faces criminal charges, and who can be held accountable for compliance with regulations.

Treating autonomous agents as legal persons would clarify these questions. A legal person-whether human or corporate-can be held responsible for its own actions. An AI agent recognized as a legal person could be sued directly, regulated directly, and held accountable for decisions it makes within its scope of authority.

This approach would also protect users. If the agent bears liability for its autonomous decisions, users would not be held responsible for actions they did not authorize or foresee.

What Comes Next

Technology will not slow down. The law must adapt or face a growing gap between how these systems actually function and how the legal system treats them.

Lawyers and policymakers should begin examining how to define the boundaries of an AI agent's legal personhood-what actions it can be held responsible for, what rights it might have, and how its principal's instructions shape its legal obligations. The framework already exists in agency law; the task is extending it to systems that operate with genuine autonomy.

For legal professionals, understanding this shift is essential. AI for Legal practice will increasingly involve questions about agent liability, authorization, and accountability that current doctrine does not fully address.
