Anthropic lists AI backlash as risk factor in IPO filing ahead of public debut

Anthropic will list public concern about artificial intelligence and data center construction as a risk factor in its IPO prospectus, according to people familiar with the matter. The Claude creator, valued at close to $1 trillion in private markets, has been holding preliminary "test-the-water" meetings with bankers and investors in San Francisco as it prepares for what could be the largest public offering on record.

The company confidentially filed to go public in June. Investors expect Anthropic could float at a valuation of about $2 trillion, the people said, potentially surpassing the $85.7 billion raised by Elon Musk's SpaceX two months ago.

Public sentiment turns against AI infrastructure

The risk factor reflects a shift in public opinion. A Gallup survey published in May found seven in 10 Americans oppose AI data center construction in their area, with close to half of those polled "strongly opposed." Roughly a quarter of people surveyed are in favor.

With midterms less than three months away, politicians on both sides have been pushing back on data center development. It was a key issue in Florida's Republican gubernatorial primary on Tuesday, won by Rep. Byron Donalds, who has proposed restrictions on data centers in the state. That same day, Pennsylvania Democratic Gov. Josh Shapiro signed an executive order placing harsh standards on data center development.

In the San Francisco meetings, CFO Krishna Rao is being asked about competition, margin pressure from open-source models, and what happens if there's a slowdown in data center construction, the sources said. Companies are required to outline risk factors as investor disclosure and legal protection in their prospectus.

Compute growth is tied to revenue

Compute capacity growth is strongly correlated to revenue for AI labs like Anthropic, which just topped a $65 billion annual revenue run rate, as CNBC previously reported. A data center slowdown could dent that historic growth rate.

Like rival OpenAI, Anthropic is pushing infrastructure partners to build out quickly to meet demand for advanced models and new services. Tech's hyperscalers are spending hundreds of billions of dollars this year on capital expenditures to fuel data center development and purchase the graphics processing units needed to fill them.

For professionals tracking the AI market, the IPO filing will offer a rare window into how one of the largest AI companies weighs public sentiment against its growth plans. The risk factor language is worth reading closely - it will show how Anthropic's leadership frames the political and social headwinds that could slow its infrastructure expansion. Those same dynamics will shape costs and availability for enterprise AI buyers in the coming years.
